These Terms of Service ("Terms") govern your access to and use of the Atlas website, applications, APIs, and related services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms.
1. The Service
Atlas is an educational research tool that computes analytics on portfolio trade ledgers you upload. Atlas is not an investment adviser, broker-dealer, financial planner, or tax professional. See our Educational Use & Investment Disclaimer for more detail.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using Atlas, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.
3. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access. We use a third-party identity provider (Clerk) to handle authentication.
4. Your data
You retain all rights to the trade ledgers and portfolio data you upload. You grant Atlas a limited, non-exclusive license to process that data solely for the purpose of providing the Service to you. We do not sell your data. See our Privacy Policy for details on how we handle personal information.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Upload data you do not have the right to upload;
- Reverse-engineer, decompile, or attempt to extract the source code of the Service;
- Access the Service via automated means (scrapers, bots) except as permitted by a published API;
- Interfere with, degrade, or attempt to exploit the Service or its infrastructure;
- Resell or commercially redistribute the Service without written permission;
- Hold Atlas out as your investment adviser, broker, or fiduciary.
6. Third-party data and services
The Service incorporates data from third-party sources (including market data providers such as Yahoo Finance via yfinance) and relies on third-party infrastructure (including Vercel, Clerk, and potentially others). Atlas makes no warranty as to the availability, accuracy, or completeness of third-party data or services. Your use of any third-party service may be governed by that third party's own terms.
7. Fees
Some features of the Service may be offered on a paid subscription basis. Pricing, billing cycles, and refund policies will be disclosed at the point of purchase. We may change pricing with reasonable notice.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR CONTINUOUS AVAILABILITY. WITHOUT LIMITING THE FOREGOING, ATLAS IS NOT AN INVESTMENT ADVISER AND THE SERVICE DOES NOT PROVIDE INVESTMENT, FINANCIAL, TAX, OR LEGAL ADVICE.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ATLAS, ITS OPERATORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ATLAS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.
10. Indemnification
You agree to indemnify and hold harmless Atlas and its operators from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any law or the rights of a third party.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access immediately if you breach these Terms. Provisions that by their nature survive termination (including disclaimers, limitations of liability, and indemnification) will survive.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced via email or a prominent notice in the Service. Continued use of the Service after an update constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute arising out of or related to these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
